By accessing or using the Cumpli platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

These Terms incorporate our Privacy Policy, which describes how we collect, use, and protect your personal information.

To use the Service, you must:

• Be at least 18 years of age
• Not be a registered sex offender in any jurisdiction
• Not have been convicted of a violent felony
• Provide truthful, accurate, and complete information during registration
• Maintain only one account on the platform

Cumpli reserves the right to verify your eligibility and to refuse or terminate service to anyone who does not meet these requirements.

When you create an account with Cumpli, you agree to provide honest, accurate, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password.

You are solely responsible for all activity that occurs under your account. You agree to notify Cumpli immediately of any unauthorized use of your account or any other breach of security.

Cumpli will not be liable for any loss or damage arising from your failure to protect your account credentials.

Cumpli charges a one-time application fee. Payments are processed through PayPal, a third-party payment processor. By submitting payment for your application, you agree to the following:

• Application Fee: You authorize Cumpli to charge the payment method or PayPal account you select for the applicable application fee.
• No Recurring Billing: The current application fee is a one-time charge and does not auto-renew.
• Refund Policy: Payments are non-refundable except where required by applicable law or approved by Cumpli at its discretion.
• Price Changes: Cumpli reserves the right to change application pricing for future applicants at any time.

You agree not to use the Service to:

• Harass, threaten, intimidate, or stalk any person
• Post or transmit any illegal, harmful, or offensive content
• Impersonate any person or entity
• Solicit money or financial information from other members
• Distribute spam, chain letters, or unsolicited commercial messages
• Upload viruses, malware, or other malicious code
• Attempt to gain unauthorized access to other user accounts or Cumpli's systems
• Scrape, crawl, harvest, index, mirror, or copy the Service or member content without Cumpli's prior written permission
• Reverse engineer, decompile, probe, test vulnerabilities in, or interfere with the security, availability, or integrity of the Service
• Use bots, scripts, or other automated means to access the Service in a way that burdens our systems, bypasses access controls, or circumvents product restrictions
• Use the Service for any commercial purpose without Cumpli's written consent
• Disrespect the boundaries, consent, or autonomy of other members
• Out or doxx other members by sharing their identity, kink involvement, or platform activity outside of Cumpli
• Share, repost, or screenshot other members' content (including profile information, survey data, and messages) outside the platform without their explicit written consent
• Attempt to identify or publicly reveal another member's real-world identity

Violation of this section may result in immediate suspension or termination of your account.

Cumpli is a matchmaking platform designed for individuals practicing consensual non-monogamy (CNM). As a member of our community, you agree to uphold the following standards:

• Honest Disclosure: You will be truthful about your relationship structure, status, and intentions. Misrepresenting your situation to potential matches is a violation of these Terms.
• Ongoing Consent: You acknowledge that consent is ongoing and can be withdrawn at any time. You will respect the decisions and boundaries of others without pressure or coercion.
• Respect for Boundaries: You will honor the stated boundaries and preferences of other members, including communication preferences, relationship boundaries, and physical boundaries.
• Communication Expectations: You will communicate openly and respectfully. Ghosting, breadcrumbing, or other manipulative communication patterns are discouraged and may result in account review.
• Anti-Outing Commitment: Members must not disclose another member's involvement with Cumpli, their relationship structure, or kink preferences to anyone outside the platform. This includes sharing information in person, on social media, or through any other channel. Violations of this policy are grounds for immediate account termination.

Cumpli provides matchmaking introductions based on the information you provide in your profile, surveys, and preferences. You understand and agree that:

• Cumpli facilitates introductions only and does not guarantee compatibility, romantic success, or any specific outcome.
• The quality of matches depends in part on the accuracy and completeness of the information you provide.
• Cumpli is not responsible for the conduct of any member, whether online or offline.
• You are solely responsible for your interactions with other members, including taking reasonable precautions for your safety.

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant Cumpli a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.

You are solely responsible for your User Content and represent that you have the right to submit it. Cumpli reserves the right to remove any User Content that violates these Terms or is otherwise objectionable.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Cumpli and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The Cumpli name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cumpli. You may not use such marks without our prior written permission.

Subject to your compliance with these Terms, Cumpli grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for its intended purpose. This license does not include any right to reproduce, distribute, modify, create derivative works from, sell, lease, or exploit the Service except as expressly permitted by these Terms or by law.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your personal information, including sensitive data such as sexual orientation and relationship preferences.

Cumpli may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, abusive behavior, or fraudulent activity.

You may close your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service will cease immediately.

Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CUMPLI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CUMPLI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MATCHES OR INTRODUCTIONS WILL RESULT IN COMPATIBLE RELATIONSHIPS OR ANY PARTICULAR OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUMPLI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL CUMPLI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO CUMPLI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Cumpli and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or intellectual property rights
• Any content you submit through the Service
• Your interactions with other members, whether online or offline

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in New York, New York.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Small Claims Option: Either party may bring an eligible claim in small claims court on an individual basis, so long as the claim remains within that court's jurisdictional limits and is not removed or appealed to a court of general jurisdiction.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Court Venue if Arbitration Is Unavailable: If a claim is found not subject to arbitration or if arbitration cannot be lawfully enforced, the claim shall be resolved exclusively in the state or federal courts located in New York, New York, and each party consents to that forum and venue.

Cumpli reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service and updating the "Effective Date" at the top of this page.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

Entire Agreement: These Terms, together with our Privacy Policy and Consent & Community Guidelines, constitute the entire agreement between you and Cumpli regarding the Service.

Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms will not operate as a waiver of that provision or any other right.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Cumpli may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
